Tata Motors Completes Acquisition of Iveco Group, Reshaping the Global Commercial Vehicle Landscape

The tender offer by India's Tata Motors for Italy-based Iveco Group has closed successfully, with an acceptance rate of 89.42% among Iveco shareholders. Tata Motors has secured absolute controlling stake in Iveco Group, marking the completion of this landmark cross-continental commercial vehicle merger and acquisition, and triggering major shifts in the global competitive landscape for commercial vehicles, chassis and powertrains.

According to public disclosures, the transaction is an all-cash tender offer at a final price of €14.40 per share, with an aggregate consideration of approximately €3.906 billion. The acquired assets exclude Iveco's previously divested defence business, and cover core segments including IVECO commercial vehicles, IVECO BUS, FPT Industrial, special vehicles and associated financial services. The deal was first announced on 30 July 2025. It went through multiple rounds of bidding negotiations, shareholder voting and anti-trust regulatory reviews across multiple jurisdictions. The prior spin-off of Iveco's defence division removed a key pre-transaction hurdle.

Originating from Italy, Iveco is a long-established European commercial vehicle manufacturer with nearly 50 years of heritage. Post-acquisition, the combined entity will record annual commercial vehicle sales in excess of 540,000 units, forming a global production and sales network covering Europe, South Asia, Southeast Asia, Latin America and Africa. Tata Motors gains direct access to Iveco's advanced hydrogen and battery-electric commercial vehicle technologies, premium heavy-duty truck platforms and mature European supply chains. In turn, Iveco can leverage Tata's manufacturing cost advantages and emerging-market distribution channels to accelerate the rollout of new-energy vehicles, jointly advance zero-carbon commercial vehicle technologies, and build synergies in long-haul logistics, engineering special vehicles, urban public transport and export supporting markets.

This acquisition carries far-reaching implications for China's special-purpose vehicle and semi-trailer industrial chain. Iveco has long served as a key overseas supplier for domestic refitted vehicles, trailer chassis and powertrain components. The change in ownership may reshape future supply strategies, technology roadmap cadence and overseas pricing of powertrain units and imported chassis.
